1. Quotations/Orders
Hemisphere West Europe Limited is bound by written orders only, verbal agreements and quotations which are unconfirmed in writing are not binding on Hemisphere West Europe Limited. Goods specified in writing shall be considered part of the purchase agreement. Subsequent amendment of the order by the purchaser shall not exempt them from paying for goods which have already been produced. Hemisphere West Europe Limited reserves the right to annul the order in case of acts out of their control.

2. V.A.T. and Prices
Goods are sold subject to value added tax at the rate applying at date of despatch. Prices quoted are as at date of quotation, Hemisphere West Europe Limited reserves the right to make changes according to the price applicable on date of delivery. Goods are subject to value added tax at the rate applying at date of despatch.

3. Payment Terms
Payment terms are 30 days.

4. Delivery/Non Standard Products
Delivery dates are estimated only and Hemisphere West Europe Limited shall not be liable for delay in delivery. Hemisphere West Europe Limited reserves the right to alter agreed delivery dates due to sufficient cause including information supplied by manufacturers, any changes in material, wages, rates of currency exchange, import/export restrictions and measures introduced by police authorities etc. With respect to the supply of non standard and printed goods, Hemisphere West Europe Limited reserves the right to deviate from ordered quantity by plus or minus 10%.

5. Cancellation of order
Hemisphere West Europe Limited shall not be obliged to accept any cancellation of an order, only at Hemisphere West Europe’s discretion. Such orders will be subject to a 25% against order value handling charge and in any case product may not be returned later than three months from purchase date. Hemisphere West Europe will not accept order cancellations for products that are end of life.

6. Complaints
Complaints must be made in writing within five days after goods have been received.

7. Limited Liability
In event of a claim against Hemisphere West Europe Limited in respect of any matter whatsoever Hemisphere West Europe Limited’s liability, if any, shall be limited to the replacement of the goods
sold by Hemisphere West Europe Limited in respect of which the liability arises. No circumstances whatsoever shall Hemisphere West Europe Limited be liable for consequential Loss/damage

8. Title
Once the client has paid for the consumables as ordered in full, they will belong to the client, until then Hemisphere West Europe Limited has the right to enter the client’s premises and remove the goods therefrom, if said goods are no longer available, other goods equivalent to the value may be removed. The contract of sale shall be cancelled by mutual consent in respect of any goods which Hemisphere West Europe Limited repossess in accordance with this clause. The contract shall be subject to English law.

9. Variations
No variations to these general terms and conditions shall be effective unless expressly made in writing by authorised representatives of Hemisphere West Europe Limited.

10. Description of goods.
Description of the goods contained in Hemisphere West Europe Limited’s acknowledgement of the clients order shall be deemed to be correct unless the client notifies Hemisphere West Europe Limited in writing within five days of receipt. Hemisphere West Europe Limited cannot be held responsible for any inaccuracies in specifications and literature passed on from Hemisphere West Europe Limited’s suppliers.

11. Representations.
Hemisphere West Europe Limited’s employees are not authorised to make representations as to the life or wear of the goods supplied or that they will be suitable conditions. Hemisphere West Europe Limited hereby excludes any oral representation per these general terms and conditions.

12. Storage
If for any reason beyond the client’s control the client is unable to accept delivery of the goods at the time when they are due, than Hemisphere West Europe Limited may if its storage facilities permit store the goods, taking all reasonable steps to prevent their deterioration until the actual delivery takes place.

The client is responsible for all reasonable costs, including insurance etc. In all other cases however where the client refuses or neglects to take or accept delivery of goods Hemisphere West Europe Limited shall be under no obligation to safeguard said products and shall not be under any liability to the client for any deterioration in the goods arising from the time when delivery was offered and actual date of delivery.

Contracts
All contracts will remain binding unless otherwise agreed by Hemisphere West Europe Limited, their client and respective general terms and conditions.
